1. Acceptance of Terms

By accessing or using the Yipiit Stewardship platform ("Service"), operated by Yipiit ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Description of Service

Yipiit Stewardship is a public company engagement platform that provides Yipiit Scores, ESG data, trust metrics, company profiles, community forums, voting guides, campaigns, job boards, and related tools. Company pages are created from lawful public-source business data. Pages are not affiliated with or endorsed by listed companies unless explicitly claimed and verified by an authorized representative.

3. User Accounts

To access certain features, you must create an account via our OAuth authentication system. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Company Claims & Verification

The claim and verification process allows authorized company representatives to claim and manage their company's public page on Yipiit. By submitting a claim, you represent and warrant that you are authorized to act on behalf of the company. "Verified" status indicates that the claimant's corporate email domain matches the company's registered website domain. It does not constitute an endorsement, audit, or due diligence by Yipiit. We reserve the right to revoke claims or verification status if we determine, in our sole discretion, that a claim was made fraudulently or without proper authorization.

5. Subscriptions & Payments

Yipiit offers free and paid subscription plans (Pro and Growth). Paid subscriptions are billed on a recurring basis (monthly or annually) through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize us to charge the applicable fees to your payment method on a recurring basis until you cancel.

Auto-Renewal: All paid subscriptions automatically renew at the end of each billing period (monthly or annually) at the then-current rate unless you cancel before the renewal date. You will be charged for the next billing cycle unless cancellation is completed before the renewal date.

Cancellation: You may cancel your subscription at any time through the Billing portal or by contacting support. Upon cancellation, your paid features will remain active until the end of the current billing period. After that, your account will revert to the Free plan. Your company page and claimed status will be retained.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Submit false, misleading, or fraudulent information, including fraudulent company claims
• Impersonate any person or entity, or misrepresent your affiliation with a company
• Post defamatory, harassing, threatening, or otherwise objectionable content
• Interfere with or disrupt the Service, servers, or networks
• Scrape, crawl, or use automated means to access the Service without our written consent
• Attempt to gain unauthorized access to any part of the Service
• Use the Service to distribute spam, malware, or unsolicited communications

7. User-Generated Content

You retain ownership of content you submit to the Service (forum posts, voting guides, company updates, campaign content). By posting content, you grant Yipiit a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with the Service. You are solely responsible for the content you post and represent that it does not infringe any third-party rights.

We reserve the right to remove any content that violates these Terms or that we deem inappropriate, without prior notice.

8. DMCA & Copyright Takedown

We respect intellectual property rights. If you believe that content on the Service infringes your copyright, you may submit a takedown notice to our designated agent with the following information:

• A description of the copyrighted work you claim has been infringed
• The URL or location of the infringing material on the Service
• Your contact information (name, address, email, phone number)
• A statement that you have a good faith belief that the use is not authorized
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner
• Your physical or electronic signature

9. Financial Data Disclaimer

The Yipiit Scores, ESG ratings, trust metrics, market data, rankings, and other financial information displayed on the Service are provided for informational purposes only. They do not constitute financial, investment, legal, or tax advice. Yipiit is not a registered investment advisor, broker-dealer, or financial planner.

Data is compiled from publicly available sources and may contain inaccuracies, be incomplete, or be outdated. Past performance and historical data are not indicative of future results. You should always conduct your own independent research and consult with qualified professionals before making any investment or business decisions.

10. Data Sources & Accuracy

Company information on Yipiit is sourced from publicly available business data, regulatory filings, and user-submitted content. While we strive for accuracy, we make no warranties or representations regarding the completeness, accuracy, reliability, or timeliness of any information displayed on the Service. Company pages that have not been claimed and verified by an authorized representative may contain information that is outdated or incomplete.

If you believe any information is inaccurate, you may submit a correction request through our Report Inaccuracy page.

11. Intellectual Property

The Service, including its design, features, content (excluding user-generated content), logos, and trademarks, is the property of Yipiit and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent. Company names, tickers, and logos displayed on the Service are the property of their respective owners and are used for identification purposes only.

12. Limitation of Liability

To the maximum extent permitted by law, Yipiit and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Yipiit and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, your content, or your infringement of any third-party rights.

14. Account Deletion

You may request deletion of your account at any time through the Billing & Subscription page. Upon deletion, your personal data will be removed in accordance with our Privacy Policy. If you have an active paid subscription, it will be canceled and you will retain access until the end of the current billing period. Company claims associated with your account will be released, and the company page will revert to unclaimed status.

15. Termination

We may terminate or suspend your account and access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Intellectual Property) will survive.

16. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
